Terms of use
A few clear rules for companies and staff using Never Late together.

1. Acceptance
These terms are an agreement between you and DBR Group ([full legal name, registration no., address — fill in before publishing]) for use of the Never Late attendance app. By registering or using it you confirm you have read and agree to these terms and the Privacy Policy. These terms do not replace your employment contract or the employer's internal work rules.
2. Eligibility
Never Late is for employees and managers of an organisation that has deployed the app; it is not for people under 16. You register with your own email; manager accounts are granted only to people assigned that duty. You keep your password confidential and are responsible for activity on your account.
3. Employee obligations
- Check in only for yourself, with a genuine selfie of yourself, at your real location.
- Do not use pre-recorded or spoofed photos/video or fake GPS location; do not check in for others or ask others to do so.
- Give truthful information in leave and timesheet-edit requests.
- Tell your manager promptly of any errors in attendance data.
4. Manager and organisation obligations
- Use data only for lawful labour management (attendance, payroll, leave approval); do not disclose it or use it for other purposes.
- Notify employees about photo capture, location and data processing, and ensure a legal basis (consent, employment contract/internal rules) under labour and data-protection law.
- Grant manager rights only to those who need them; handle employees' requests about their data.
- If an organisation other than DBR deploys the app, it is the data controller and signs a data-processing agreement with DBR.
5. Prohibited conduct
- Unauthorised access, vulnerability scanning, or interference with the system or others' data.
- Attendance fraud (faking photo, location or device).
- Reverse-engineering, copying or redistributing the app.
- Violating Vietnamese law.
6. Intellectual property
Never Late, its source code, interface, brand and accompanying materials belong to DBR Group or its licensors and are protected by intellectual-property law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app under these terms. You may not copy, reverse-engineer, interfere with, resell or use our brand without written permission.
Content you create remains yours. You grant us a limited, non-exclusive licence to store, process and display it solely to operate the service for you.
7. Privacy
Processing of personal data, including photos and location, follows the Privacy Policy, which forms part of these terms.
8. Suspension and termination
An account may be suspended or terminated if you breach these terms, when your employment ends, or at the request of a competent authority. Data is then handled as described under "Retention" in the Privacy Policy.
9. Disclaimers and limitation of liability
To the extent permitted by law the service is provided "as is"; we do not warrant it will be uninterrupted, error-free or fit for every purpose. We are not liable for indirect damages or data loss caused by your device, network or actions, and our aggregate liability (if any) will not exceed the amount you paid for the service in the previous 12 months. This limit does not apply to liability that cannot be excluded by law (including consumer-protection law) or that arises from our wilful misconduct or gross negligence.
Location accuracy depends on the device and environment; technical deviations are not fraud and you may submit a timesheet-edit request. Attendance results do not replace the employer's decisions under the employment contract and labour law.
10. Apps from stores
If you obtained the app from the App Store or Google Play, Apple Inc. / Google LLC is not the provider of the app and has no responsibility for its content, warranty, support or claims relating to it; the store's standard terms apply in parallel. Apple is a third-party beneficiary of these terms for the iOS version.
11. Governing law and disputes
These terms are governed by the laws of Vietnam. Disputes are first resolved by negotiation; failing that, the competent court in Vietnam has jurisdiction. If you are a consumer, your mandatory rights under consumer-protection law are not limited by these terms.
Labour disputes between you and your employer are resolved under labour law.
12. Changes to the terms
We may update this document when the product or the law changes. Material changes will be announced in the app or by email before they apply; the update date is shown at the top. Continuing to use the service after the effective date means you accept the new version, unless the law requires us to obtain your consent again.
